General Terms and Conditions of Sale

1/ This purchase order is FIRM AND FINAL.

However, if a loan for a period exceeding 3 months is requested at the time of the sale or prior to it, the sale will only become final when the preliminary offer required by law also becomes final.

2/ QUOTATIONS

The submission of a quotation will only constitute a commitment to immediate execution if it is followed by the signature of the corresponding purchase order, unless expressly stipulated otherwise on the quotation. Our quotations, as well as any accompanying drawings and models, remain our property. They may not be disclosed, even partially, to third parties without our authorization, under penalty of damages.

3/ ORDERS AND RESTOCKING

Orders that are always accompanied by a numbered order form from us are only considered after payment of a deposit, the amount of which is determined by both parties, unless waived by the seller. If credit for a period exceeding three months is requested at the time of sale or beforehand, the deposit will be paid in accordance with legal provisions. We cannot guarantee the restocking of sold furniture and are only responsible for it to the extent of our own or the manufacturer’s capabilities. For custom-made furniture, the manufacturer is granted some flexibility in dimensions or component parts, provided that this does not result in a price increase or a decrease in quality. The buyer also has the right to specify any characteristics upon which their commitment is contingent.

4/ ORDER MODIFICATIONS

Any quantitative or qualitative modification to a finalized order will only be accepted if it does not disrupt manufacturing or supply. It may, if necessary, result in an increase in the quoted prices and will determine a new delivery date.

5/ STORAGE

If, after the goods have been made available, the delivery date is postponed by the buyer, the goods will be considered delivered on the date they were made available. Invoicing will be done on that date. After being made available, furniture stored in our warehouses may remain there for one month at our expense. Upon expiry of this period and after formal notice to take possession of the furniture, we will then be entitled to:

• either invoice the customer for the cost of storage in our warehouses;
• or place the goods in storage at the recipient’s expense and risk.

6/ DELIVERY METHOD

Subject to the buyer’s compliance with the requirements set forth in Article 8 below, we undertake to bear the risks of transport except when the buyer collects the goods or deals directly with the carrier. Unless otherwise advised by us, or unless the buyer arranges for the collection or transport of the furniture themselves, we will assemble the furniture. Regarding apartment installation work, ownership is transferred upon acceptance of the work by the owner or architect, or upon delivery of progress reports, subject to the retention of title clause stipulated in Article 11. The buyer remains responsible if the ordered goods cannot be delivered to the buyer’s residence due to limited space or access difficulties, unless this difficulty was expressly communicated to us at the time of the order. In this case, the goods will be returned to our premises, and the invoice will become immediately due and payable. The customer will then be responsible for the delivery and assembly of the furniture at their residence. MEDIATION: In accordance with Article L612-1 of the French Consumer Code, the customer may use the free mediation service AME CONSQ electronically at www.mediationconso-ame.com or by mail at: AME CONSO – 11 place Dauphine – 75001 Paris, for all complaints already submitted in writing to the seller’s customer service department within the last year and which have not been resolved, provided that the dispute is not already being examined by another mediator or a court.

7/ PAYMENT

Payment is made under the conditions stipulated at the time of the order. Unless otherwise agreed, the balance of the invoice must be paid to the delivery driver. In the case of a partial delivery requested by the customer, the buyer must, in addition to the deposit already paid, pay for the furniture actually delivered and may not, under any circumstances, postpone this payment until the date of delivery of the remaining balance.
